OmaScan Terms of Service

1. Agreement and Acceptance
These Terms of Service ("Terms") govern your access to and use of the OmaScan 3D assessment, viewing, and collaboration platform, including our mobile applications, web application, and related services (collectively, the "Service"), provided by OmaScan Inc. ("OmaScan," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" includes both you individually and that organization.
If you do not agree to these Terms, do not create an account and do not use the Service.
The Service is designed and operated for occupational therapists and related users practicing in Canada. OmaScan's privacy and security compliance program is currently scoped to Canadian federal law (PIPEDA) and provincial law in provinces other than Quebec. OmaScan has not assessed the Service against Quebec's Act respecting the protection of personal information in the private sector ("Law 25") or against laws of jurisdictions outside Canada, including the laws of the United States and the European Economic Area.
OmaScan does not represent that the Service is appropriate or compliant with applicable law in Quebec or in any jurisdiction outside Canada. If you access the Service from Quebec, from outside Canada, or in a role subject to legal obligations beyond Canadian federal and provincial law (for example, US health privacy laws or the GDPR), you are solely responsible for determining whether your use of the Service satisfies those obligations, and you accept any risk arising from that use.
OmaScan reserves the right to restrict access to the Service from particular jurisdictions or to require additional terms for users in particular jurisdictions.
Where you and OmaScan (or your organization and OmaScan) have executed a separate written agreement governing your use of the Service, including a Data Processing Agreement, Information Manager Agreement, Business Associate Agreement, or enterprise subscription agreement, the terms of that agreement prevail over these Terms to the extent of any conflict.
2. Definitions
In these Terms:
"Custodian" means a person or organization that has custody or control of Personal Health Information under applicable health privacy law, including a health information custodian, information manager, covered entity, business associate, or equivalent role.
"Personal Health Information" or "PHI"means information about an identifiable individual's physical or mental health, the health care provided to them, or information collected in connection with a health assessment, including where such information is contained in a scan or assessment uploaded to the Service.
"Professional User" means a user who uses the Service to capture, upload, manage, or generate home or accessibility assessments, whether for their own practice, on behalf of an employer, or on behalf of a client. Occupational therapists, physiotherapists, contractors, building inspectors, certified aging-in-place specialists, and other assessors are Professional Users. A user becomes a Professional User by uploading scans or other assessment content or by using professional features of the Service.
"Subject" means the individual whose home, functional needs, or circumstances are the subject of a scan or assessment uploaded to the Service.
"Viewer User" means a user who creates an account or accesses the Service to view a scan, report, or other content that has been shared with them by a Professional User or another authorized party. Clients, family members, contractors reviewing a shared scan, and reviewers acting for a payer or program are Viewer Users, unless they also use the Service in a Professional User capacity.
"Your Content" means the scans, measurements, annotations, reports, photos, files, messages, and other materials that you or others acting through your account upload, submit, or generate using the Service.
3. Eligibility and Account Registration
To create an account and use the Service, you must be at least the age of majority in your jurisdiction of residence. The age of majority in Canada varies by province, being 18 in some provinces and 19 in others. Subjects who are minors may have data collected with appropriate parental/guardian consent obtained by the Custodian.
You must provide accurate and complete information when creating your account and keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. If you are using the Service on behalf of another person (for example, as a caregiver acting under a power of attorney), you represent that you have the authority to do so.
You must notify us promptly at security@omascan.com if you believe your account has been accessed without authorization or your credentials have been compromised.
4. User Types
The Service is used by different types of users, and some provisions of these Terms apply only to certain types of users.
You are a Viewer User when you use the Service solely to view content shared with you. Viewer Users do not grant OmaScan a license over scans or other content uploaded by Professional Users, because Viewer Users do not provide that content. Any content a Viewer User separately submits (such as comments, annotations they are authorized to add, or files they upload) is treated as Your Content.
You are a Professional User when you upload scans or assessment content, use professional features, or use the Service on behalf of an organization or client. Professional Users are subject to the additional terms set out in Section 6.
You may use the Service in both capacities at different times. The provisions applicable to each capacity apply to your use in that capacity. A Viewer User who begins uploading content becomes a Professional User from that point forward.
5. Acceptable Use
You agree to use the Service only for its intended purposes and in compliance with these Terms and all applicable laws.
You will not:
- Use the Service in any way that violates applicable law, including privacy, health, intellectual property, or export laws
- Upload, submit, or share content that you do not have the right to upload, submit, or share, including content that infringes intellectual property or privacy rights of others
- Upload content containing viruses, malware, or other harmful code, or attempt to interfere with, disable, or compromise the security or integrity of the Service
- Access or attempt to access parts of the Service, data, or user accounts that you are not authorized to access
- Use the Service to harass, threaten, defame, or harm others, or to upload unlawful, obscene, or abusive content
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent this restriction is prohibited by applicable law
- Use automated tools, scrapers, bots, or data mining techniques to collect information from the Service, except for standard, non-intrusive web crawlers accessing publicly available content
- Resell, sublicense, rent, or make the Service available to third parties on a commercial basis, except under a written agreement with OmaScan authorizing such use
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Service or in any content delivered through the Service
- Use the Service to circumvent any usage limits, paywalls, or other access controls
- Harvest or collect personal information about other users except as necessary to use the sharing and collaboration features of the Service as intended
You are responsible for Your Content and for your use of the Service. OmaScan may investigate and take action against any use that violates these Terms, including suspending or terminating your access.
6. Professional Users, Custodians, and Regulated Use
If you are a Professional User, or if you use the Service in connection with your role as a Custodian or under the authority of a Custodian, the following additional terms apply.
Authority to upload. You represent that you have all rights, authorizations, and consents necessary to upload Your Content and to grant the license in Section 7, including consents from Subjects (or their legal representatives), your employer, any clinical organization or program you work with, and any professional regulator with authority over your practice.
Compliance with your own obligations.You remain responsible for complying with your own professional, regulatory, and legal obligations, including obligations under provincial health privacy laws (such as Newfoundland and Labrador's Personal Health Information Act, Ontario's Personal Health Information Protection Act, Alberta's Health Information Act), the federal Personal Information Protection and Electronic Documents Act, and any rules of your professional regulator. OmaScan's compliance program is currently built for Canadian federal and provincial law outside Quebec. Professional Users whose obligations include requirements beyond that scope — such as Quebec's Act Respecting the Protection of Personal Information in the Private Sector, the United States Health Insurance Portability and Accountability Act, or the European General Data Protection Regulation — are responsible for independently assessing whether OmaScan's practices satisfy those requirements. These Terms do not modify or relieve you of those obligations.
Information manager / service provider role.Where you use the Service as a Custodian or on a Custodian's behalf, OmaScan processes Personal Health Information solely on the Custodian's instructions, in the role recognized by applicable health privacy law: as an agent, Electronic Service Provider (where applicable), or information manager.
The Custodian is responsible for entering into a written agreement (Information Manager Agreement, Data Processing Agreement, or equivalent) with OmaScan before any Personal Health Information is transferred through the Service. OmaScan provides a template on request, contact security@omascan.com.
OmaScan may decline to process Personal Health Information through the Service until a written agreement is in effect.
Clinical and regulatory decisions. The Service is a viewing, measurement, documentation, and collaboration tool. It is not a medical device, a clinical decision-making tool, or a regulatory compliance certification tool. All clinical, regulatory, construction, and safety decisions remain the responsibility of the qualified professional. You agree to independently verify measurements, review AI-generated outputs, and exercise your own professional judgment before relying on the Service for any decision that affects the health, safety, or legal rights of a Subject.
Subject consent. You are responsible for obtaining any consent required from Subjects (or their legal representatives) for the collection, use, and disclosure of Personal Health Information through the Service, and for directing OmaScan in accordance with those consents.
7. Your Content and Our Use of Data
Ownership. OmaScan does not claim ownership of Your Content. As between you and OmaScan, you retain all rights in Your Content.
License to OmaScan. You grant OmaScan a worldwide, royalty-free, non-exclusive license to host, store, copy, transmit, display, process, analyze, and otherwise use Your Content for the purpose of operating, maintaining, securing, supporting, and improving the Service, generating the outputs you request (including reports, measurements, and shared scans), providing the Service to you and to other users you authorize, and complying with legal obligations. This license continues for as long as Your Content is retained in the Service and terminates when Your Content is deleted, except to the extent we retain De-Identified Data or Service Usage Data as described below.
Service Usage Data.OmaScan collects data about how the Service is used, including account activity, device and application information, feature usage events (such as scans uploaded, measurements taken, annotations added, equipment placed, reports generated, scans shared, and scans viewed), session information, error logs, diagnostic information, and performance data (collectively, "Service Usage Data"). Service Usage Data is associated with your account but is not intended to include the content of scans, information identifying Subjects, or other Personal Health Information. OmaScan uses Service Usage Data to operate, maintain, secure, and improve the Service, diagnose issues, understand how features are used, inform product decisions, communicate with you about your use of the Service, and support commercial and strategic planning. OmaScan may retain Service Usage Data after termination of your account.
De-Identified and Aggregated Data.OmaScan may create de-identified and aggregated data derived from Your Content and from your use of the Service ("De-Identified Data"), including anonymized information about usage patterns, environmental characteristics, assessment workflows, equipment placements, and modification recommendations, in each case in a form that cannot reasonably be used to identify you, any Subject, or any specific home. De-Identified Data is not Personal Information or Personal Health Information. OmaScan may use, retain, publish, and commercialize De-Identified Data for any lawful purpose, including operating and improving the Service, research, benchmarking, developing new products and features, and producing insights for partners and the public.
Use of Your Content to train artificial intelligence. OmaScan will not use the raw content of scans, the content of Personal Health Information contained in Your Content, or your identifiable queries and inputs to train, fine-tune, or improve general-purpose artificial intelligence or machine learning models without a separate written agreement authorizing that use. This restriction does not apply to De-Identified Data or to machine learning used solely to operate features within your own account (for example, on-device or account-scoped features that do not transfer your data to general-purpose models).
8. AI-Assisted Features
The Service may include features that use artificial intelligence and machine learning to generate outputs ("AI Features"), including reference and suggestion tools that respond to queries about accessibility standards and tools that analyze scans to flag items for review.
AI Features are reference and suggestion tools only. Outputs generated by AI Features may contain errors, omissions, outdated information, false positives, false negatives, inaccurate citations, and misapplications of standards. AI Features do not make clinical, regulatory, compliance, or safety determinations.
You are solely responsible for verifying the accuracy and applicability of any AI output before relying on it for any decision. OmaScan makes no representation that AI outputs are accurate, complete, current, or fit for any particular purpose. AI Features are not a medical device, a clinical decision support system, or a regulatory compliance certification tool.
Where your jurisdiction grants you the right to request human review of automated processing, or information about the principal factors contributing to an automated output affecting you, you may exercise that right by contacting us at security@omascan.com.
9. Third-Party Scanning Applications and Services
The Service accepts scan files produced by third-party scanning applications and devices that you choose to use. OmaScan does not develop, control, or endorse any third-party scanning application. When you use a third-party scanning application, that application's terms and privacy policy govern its collection and processing of information.
OmaScan makes no representation regarding the accuracy, completeness, or suitability of any third-party scanning application. Any mention of a specific application in our documentation, marketing, or support materials is informational only and does not constitute an endorsement or warranty. You are responsible for selecting a scanning application appropriate for your intended use and for complying with that application's terms.
The Service may also integrate with or link to other third-party services. Those services are subject to their own terms and privacy practices. OmaScan is not responsible for the availability, accuracy, or practices of any third-party service.
10. Scan Capture and Measurement Accuracy
OmaScan is a viewing, measurement, annotation, and collaboration platform. You capture scans using third-party scanning applications and devices and upload the resulting files to the Service.
OmaScan is not responsible for the accuracy, completeness, or quality of scans themselves, which depend on factors outside OmaScan's control, including the device, lighting and environmental conditions, user technique, and the third-party application used to capture the scan.
Measurements, annotations, and analysis produced by the Service operate on the geometry present in the uploaded scan file. Measurements reflect the geometry of the scan and are therefore only as accurate as that scan. Small errors in scan capture can produce materially different measurements from the real-world space.
You are responsible for:
- Verifying that scans are of sufficient quality and accuracy for your intended use
- Retaking scans where accuracy is insufficient
- Independently confirming measurements, using physical verification where accuracy affects safety, compliance, or installation fit
- Applying professional judgment before relying on the Service for any clinical, regulatory, or construction decision
The Service is not a substitute for on-site physical verification where accuracy is safety-critical.
11. Intellectual Property and License to the Service
OmaScan and its licensors own all right, title, and interest in and to the proprietary portions of the Service, including OmaScan's original source code, product design, user interface, trademarks, logos, trade dress, documentation, and any proprietary algorithms or models developed by OmaScan, together with all intellectual property rights in them.
The Service incorporates third-party software components, including open-source software, that are licensed to OmaScan and, indirectly, to you under the terms of their respective licenses. These components are not owned by OmaScan. To the extent any third-party or open-source license conflicts with these Terms, the third-party or open-source license governs with respect to that component.
Subject to these Terms, OmaScan grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purposes. This license covers OmaScan's proprietary components. Your use of third-party and open-source components embedded in the Service is additionally subject to the terms of their respective licenses.
You may not copy, modify, distribute, sell, rent, lease, lend, reverse engineer, decompile, disassemble, or create derivative works of the proprietary portions of the Service, except to the extent these restrictions are prohibited by applicable law or expressly permitted by a separate written agreement with OmaScan. These restrictions do not apply to third-party or open-source components governed by their own licenses, which you may use in accordance with those licenses.
Any feedback, suggestions, or ideas you provide to OmaScan about the Service may be used by OmaScan without any obligation to you. You retain no rights in such feedback beyond your rights in Your Content.
12. Fees and Payment
The Service is offered in Free, Pro, and Enterprise tiers. Current features and pricing for each tier are described on the OmaScan website.
If you subscribe to a paid tier, you agree to pay the fees described at the time of purchase. Fees are non-refundable except as required by applicable law or as described in a separate written agreement. OmaScan may change fees for a paid tier on reasonable notice. Changes take effect at the start of your next billing cycle.
Enterprise subscriptions are governed by a separate written agreement between OmaScan and your organization, which may modify the terms of this Section.
13. Term and Termination
These Terms apply for as long as you have an account or use the Service. Either party may terminate at any time.
Your right to terminate. You may close your account at any time through the Service or by contacting us at support@omascan.com.
OmaScan's right to terminate or suspend. OmaScan may suspend or terminate your access to all or part of the Service, including your account, if you violate these Terms, if your use of the Service creates a risk of legal liability or harm to OmaScan or others, if your account is inactive for an extended period, or if OmaScan discontinues the Service or a tier of the Service. Where practical and not prohibited by law or the circumstances, OmaScan will give notice before suspending or terminating your access for a reason other than a violation of these Terms.
Effect of termination.On termination of your account, your right to access and use the Service ends. OmaScan will handle Your Content in accordance with our Privacy Policy and any applicable Data Processing Agreement, Information Manager Agreement, or Business Associate Agreement. Where Your Content is part of a Custodian's clinical record, or is subject to retention obligations under applicable law or a separate agreement, we will retain it in accordance with those obligations.
Return or destruction of Personal Health Information. Where Your Content includes Personal Health Information held on behalf of a Custodian, OmaScan will return or securely destroy the Personal Health Information at the Custodian's written instruction in accordance with the applicable Information Manager Agreement, Data Processing Agreement, or equivalent.
Data export. You may request a copy of Your Content at any time before termination, and for a reasonable period after termination, through the Service or by contacting us at security@omascan.com. Where Your Content is subject to a Custodian's retention obligations, export requests may be directed to the Custodian.
Deceased users.If a user dies, the legal representative of the user's estate may contact us at security@omascan.comto close the account and direct the handling of Your Content. We may request reasonable documentation of the representative's authority. Where Your Content is part of a Custodian's record, the Custodian's obligations govern.
Survival. Sections 2 (Definitions), 7 (Your Content and Our Use of Data, with respect to De-Identified Data and Service Usage Data), 11 (Intellectual Property), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 19 (Governing Law and Dispute Resolution), and any other provisions that by their nature should survive, survive termination.
14. Disclaimers
No professional advice. The Service is a tool. It is not a substitute for professional advice. The Service does not provide medical, clinical, regulatory, legal, construction, financial, or other professional advice. You should consult appropriately qualified professionals before making decisions based on the Service.
Not a medical device. The Service is not a medical device. It is not intended to diagnose, treat, mitigate, or prevent disease or any medical condition. Where the Service is used in a clinical context, it is used as a reference and documentation tool by qualified professionals who remain responsible for all clinical decisions.
Service provided "as is."Except as expressly stated in these Terms or in a separate written agreement, the Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, OmaScan disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.
No warranty of uninterrupted service. OmaScan does not warrant that the Service will be uninterrupted, error-free, free of harmful components, or that defects will be corrected. OmaScan does not warrant that the results obtained through the Service will meet your requirements.
Third-party content and scans. OmaScan makes no representation or warranty concerning content provided by other users, third-party scanning applications, third-party services, or the accuracy of scans captured using third-party tools. See Sections 9 and 10.
AI Features. OmaScan makes no representation or warranty concerning the accuracy, completeness, or suitability of AI Features or AI-generated outputs. See Section 8.
Consumer law carve-out. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In those jurisdictions, the disclaimers in these Terms apply to the fullest extent permitted by law, and you may have additional rights that these Terms cannot override.
15. Limitation of Liability
To the fullest extent permitted by applicable law, OmaScan, its affiliates, and their respective directors, officers, employees, agents, licensors, and suppliers will not be liable for:
- Indirect, incidental, special, consequential, punitive, exemplary, or aggravated damages
- Loss of profits, revenue, business opportunity, anticipated savings, goodwill, or data
- Damages arising from your reliance on the Service, AI outputs, measurements, scans, or third-party content
- Damages arising from unauthorized access to your account where the unauthorized access results from your failure to protect your credentials
- Damages arising from third-party scanning applications, third-party services, or third-party content
If something goes wrong with the Service and you suffer a loss, OmaScan's total liability to you for all claims arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), statute, or otherwise, will not exceed the greater of (a) the fees you paid to OmaScan in the twelve months before the event giving rise to the claim, or (b) CAD $1,000.
These limits do not apply to:
- liability arising from fraud or fraudulent misrepresentation by OmaScan;
- liability arising from OmaScan's gross negligence or willful misconduct;
- OmaScan's indemnification obligations under these Terms; or
- liability for death or personal injury caused by OmaScan's negligence.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law, including PHIPA s.71.1, PHIA NL s.89, or PIPEDA s.16. Consumers in Quebec retain all rights granted to them by the Consumer Protection Act (Quebec) that cannot be waived.
16. Indemnification
You agree to defend, indemnify, and hold harmless OmaScan, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Service in violation of these Terms or applicable law
- Your Content, including any claim that Your Content infringes or misappropriates the rights of a third party
- Your breach of any representation or warranty in these Terms
- Your failure to obtain required consents from Subjects or other individuals whose information is contained in Your Content
- Your clinical, regulatory, construction, or other decisions, including decisions based on Service outputs
OmaScan will promptly notify you of any claim subject to indemnification and may, at its option, participate in the defense with counsel of its choice at its own expense. You will not settle any claim in a manner that imposes any obligation on OmaScan without OmaScan's prior written consent.
This Section does not require you to indemnify OmaScan for claims arising from OmaScan's gross negligence, wilful misconduct, or breach of these Terms.
17. Privacy
Your privacy matters. Our Privacy Policy describes how we collect, use, disclose, retain, and protect Personal Information in connection with the Service, including Personal Health Information, Service Usage Data, and De-Identified Data. You consent to the collection, use, and disclosure of Personal Information for the purposes described in the Privacy Policy.
Where you use the Service as a Custodian or on behalf of a Custodian, the handling of Personal Health Information is also governed by any applicable Information Manager Agreement, Business Associate Agreement, Data Processing Agreement, or equivalent agreement between OmaScan and the Custodian's organization.
Electronic communications and notices. You consent to receive communications from OmaScan electronically, including service notices, account notifications, security alerts, and changes to these Terms. You agree that electronic communications satisfy any legal requirement that such communications be in writing.
Where OmaScan receives a request for your Personal Information from a government authority or through legal process, we will notify you before disclosure unless legally prohibited from doing so or unless notification would impede a lawful investigation or create a risk of harm.
18. Changes to These Terms
OmaScan may update these Terms from time to time. When we make material changes, we will notify you by email, by an in-Service notice, or by posting the updated Terms on our website with an updated "Last Revised" date. Material changes take effect no sooner than thirty days after notice, except where a shorter period is required by law or necessary to address a security, legal, or regulatory risk.
Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
Non-material changes (including corrections of typographical errors, clarifications, and changes required by law) may take effect without notice.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada applicable in that province, without regard to conflict-of-laws principles.
Good-faith negotiation. If a dispute arises between you and OmaScan relating to these Terms or the Service, the parties will first attempt to resolve the dispute in good faith. Either party may initiate this process by providing written notice of the dispute to the other party, describing the issue and proposed resolution. The parties will attempt to resolve the dispute within thirty days of notice.
Courts. If the dispute is not resolved through good-faith negotiation, the parties submit to the exclusive jurisdiction of the courts of the Province of Newfoundland and Labrador. This does not prevent either party from seeking urgent injunctive or equitable relief in any court of competent jurisdiction.
Consumer protections preserved. If you are a consumer residing in a jurisdiction that grants you non-waivable rights regarding venue, governing law, or dispute resolution, those rights prevail over this Section. Consumers in Quebec specifically retain all rights granted to them by the Consumer Protection Act (Quebec) that cannot be waived, including the right to bring proceedings in Quebec courts.
Time limit. Any claim arising out of or relating to these Terms or the Service must be brought within one year after the cause of action arises, except where applicable law requires a longer period.
20. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any separate written agreement between you and OmaScan (or your organization and OmaScan), constitute the entire agreement between the parties regarding the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
No waiver.OmaScan's failure to enforce any provision of these Terms is not a waiver of that provision or of the right to enforce it in the future.
Assignment.You may not assign or transfer these Terms or your account without OmaScan's prior written consent. OmaScan may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.
Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and OmaScan.
Force majeure. Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, labour disputes, acts of government, telecommunications failures, cyberattacks, and pandemics.
Language. These Terms are prepared in English. Where these Terms are translated into another language, the English version prevails in the event of a conflict, except where applicable law requires otherwise. Third-party beneficiaries.These Terms do not create any rights in favour of third parties, except that OmaScan's affiliates and the other parties protected under Sections 14, 15, and 16 are intended third-party beneficiaries of those Sections.
